Welcome to SpinCounts.com. These Terms of Service (“Terms”) are a legal agreement between you (“you,” “your,” or “User”) and SpinCounts LLC (“SpinCounts,” “we,” “our,” or “us”). By accessing or using our website, WordPress plugins, dashboards, APIs, or other services (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.
2. Account Registration
- Accuracy of Information— You agree to provide true, current, and complete information when registering and to keep your account details updated.
- Security— You are responsible for maintaining the confidentiality of your login credentials and any activity that occurs under your account. Notify us immediately of any unauthorized use.
3. Subscription Plans and Payments
- Plans—We offer free and paid tiers described on our pricing page. Features and limits vary by plan and may change from time to time.
- Billing—Paid plans renew automatically at the interval you select (e.g., monthly or annually) until cancelled. You authorize us to charge the payment method on file.
- Cancellations & Refunds— You may cancel at any time; service remains active until the end of the current billing cycle. Fees are non-refundable except where required by law.
- Taxes—Prices exclude applicable taxes unless stated otherwise. You are responsible for any VAT, GST, or sales tax due.
4. License and Acceptable Use
SpinCounts grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for internal business purposes in accordance with these Terms.
4.1 Prohibited Conduct
- Reverse-engineering, decompiling, or hacking any part of the Services.
- Scraping or harvesting data except through SpinCounts-provided APIs within rate limits.
- Sublicensing, reselling, or making the Services available to third parties without our written consent.
- Uploading malicious code, interfering with security-related features, or imposing unreasonable load on our infrastructure.
- Using the Services for unlawful, defamatory, or infringing purposes.
5. Intellectual Property
The Services, including all software, data visualizations, compilations, and trademarks, are owned by SpinCounts or its licensors and protected by copyright and other laws. Except as expressly allowed, you may not reproduce, modify, or create derivative works from our content without permission.
6. User Content and Data
- Your Data—You retain ownership of data and materials you upload (“User Content”). You grant SpinCounts a worldwide, royalty-free license to use, host, and display User Content solely to provide and improve the Services.
- Data Accuracy— You are responsible for ensuring User Content is lawful, accurate, and does not violate any third-party rights.
7. Third-Party Services
The Services integrate APIs and data feeds from OnlineRadioBox, iHeartRadio, TheAudioDB, MusicBrainz, Genius, Last.fm, and other providers (“Third-Party Services”). Your use of Third-Party Services is subject to their separate terms. SpinCounts is not liable for third-party content or availability.
8. API Usage
If we provide an API, you must: (a) keep your credentials confidential, (b) comply with published rate limits, (c) display attribution if required, (d) not cache data longer than permitted, and (e) not use the API to build a competing service. We may revoke API access at any time.
9. Termination
We may suspend or terminate your access immediately and without liability if you breach these Terms, if required by law, or for inactivity (free accounts). Upon termination, your right to use the Services ceases, but Sections 5, 10, 11, 12, and 13 survive.
10. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPINCOUNTS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY CALENDAR YEAR WILL NOT EXCEED THE AMOUNTS YOU PAID US THAT YEAR. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE LIMITS APPLY TO YOU ONLY TO THE EXTENT ALLOWED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless SpinCounts from any claims, damages, or expenses arising out of (i) your use of the Services, (ii) your violation of these Terms, or (iii) your infringement of any third-party rights.
13. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any dispute shall be brought exclusively in the federal or state courts located in Suffolk County, Massachusetts, and you consent to their jurisdiction.
14. Modifications to Terms
We may update these Terms at any time. We will post the revised version and update the “Last updated” date. Material changes will be communicated via email or prominent notice. Continued use of the Services after changes constitutes acceptance.
15. Miscellaneous
- Entire Agreement— These Terms and the Privacy Policy constitute the entire agreement between you and SpinCounts.
- Severability— If any provision is held unenforceable, the remaining provisions remain in full force.
- No Waiver— Failure to enforce any right or provision does not waive our ability to enforce it later.
- Assignment— You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
