Terms of Service

1. Acceptance of Terms

By accessing or using SpinCounts (the "Service") at https://spincounts.com/, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you ("you" or "User") and SpinCounts ("we," "us," or "our").

2. Description of Service

SpinCounts is a radio airplay tracking and reporting platform. We ingest publicly available now-playing data from third-party radio sources, enrich it with metadata from music APIs, and present reports, charts, and analytics.

SpinCounts also includes a web player for listening to radio stations' live streams — on our website and in SpinCounts players that stations and others add to their own websites. When you press Play, the audio comes from the station's own stream (or the streaming service the station uses). Each station is responsible for what it broadcasts, including the music and any ads in its stream; we do not control or edit station programming. A short SpinCounts audio ad may play before the station's stream starts (see Section 2A).

2A. Audio Advertising

For listeners

• When you press Play in a SpinCounts player — on our website or on another website — a short SpinCounts audio ad may play before the station's live stream starts. Our ads play only before the stream, not during it.
• Ads are short (usually 30 seconds or less), and we limit how often they play (usually no more than one ad every 30 minutes on the same internet connection). We may change these limits.
• Ads are labelled "Ad" in the player and show a countdown. You can pause an ad or close the player at any time. There is no skip button; the station starts when the ad ends.
• Ads in SpinCounts players are placed by SpinCounts, not by the station you are listening to.
• How we count ads, and what we do not collect, is explained in our Privacy Policy.

For stations

Ads may play before any station's stream in SpinCounts players unless ads are switched off for that station. If you own a station, you can ask us to switch SpinCounts ads off for it at any time by emailing support@spincounts.com; we will switch them off once we have confirmed you represent the station. If you have claimed your station on SpinCounts, you can also switch ads off yourself from your station dashboard. We may also switch ads off for any station. This covers ads played by SpinCounts players only, not ads in a station's own stream.

For advertisers

If you supply an audio ad to play in SpinCounts players, you confirm that you are at least 18 and, if you act for a business, that you may agree to these Terms for it. You also agree that:

• You own, or have permission to use, everything in your ad — including any music, voices, sound effects, and trademarks — and playing it in SpinCounts players will not break any law or infringe anyone's rights.
• Your ad is truthful and follows the advertising laws that apply to it.
• Your ad does not contain or promote political ads (about candidates, parties, elections, or political causes), alcohol, gambling or betting, cannabis, adult or sexual content, cryptocurrency, misleading health or medical claims, or anything unlawful, hateful, or deceptive.
• We review every ad before it plays. We may refuse, pause, or stop playing any ad at any time.
• You allow us to store your ad, convert it to our audio format (this removes tags and other data embedded in the file), adjust its loudness and peaks so ads play at a similar volume, put the file online so players can load it, and play it in SpinCounts players. We do not otherwise edit it.
• Your business or brand name is shown in the player, and on the listener's lock screen, while your ad plays.
• We do not guarantee any number of plays, listeners, stations, or results beyond what your order states. Ads play only on stations that carry SpinCounts ads, and ads can be switched off for any station at any time.
• Any reports we give you show totals only (for example, plays and completed plays by station, genre, and day). They are measured by our own player, do not identify listeners, and may differ from other measurement tools.
• If you buy ads, the price, payment terms, and how paid plays are counted will be stated in your order.
• Section 6 (User Content) and Section 12 (Indemnification) apply to your ad.

No one may try to inflate or fake plays or ad counts (for example, with bots or scripts). We may remove counts we believe are not genuine.

3. Eligibility & Accounts

• You must be at least 13 years old to use the Service. Some features require you to be 18 or the age of majority in your jurisdiction.
• You agree to provide accurate, current information when creating an account and to keep it up to date.
• You are responsible for safeguarding your account credentials and all activity under your account.
• One account per person. You may not share, sell, or transfer your account.

4. Subscriptions, Billing & Refunds

Paid plans renew automatically on a monthly cycle until canceled. Pricing is shown at https://spincounts.com/membership/. Payment processing is handled by Stripe, Inc. — we do not store full payment card data. By subscribing, you also agree to Stripe's terms.

• You may cancel at any time from your account page. Cancellation takes effect at the end of your current billing period.
• Fees already paid are non-refundable except where required by law. Pro-rated refunds may be issued at our sole discretion for service outages exceeding 48 consecutive hours.
• We may change pricing on 30 days' notice. Changes apply at your next renewal.
• If a payment fails, we may suspend paid features until the balance is resolved.

5. Acceptable Use

You agree NOT to:

• Reverse engineer, decompile, or attempt to extract source code from the Service except to the extent expressly permitted by applicable law;
• Use automated means (bots, scrapers, headless browsers) to access the Service or pull data in volumes exceeding ordinary human use;
• Resell, sublicense, or redistribute Service data without our prior written consent;
• Interfere with the Service's operation, security, or other users' access;
• Impersonate any person or entity, or misrepresent your affiliation with one;
• Upload or submit content that is unlawful, infringing, defamatory, or that violates a third party's rights;
• Use the Service to harass, threaten, or stalk any person.

We may suspend or terminate accounts that violate this section without notice.

6. User Content

You retain ownership of any content you upload (artist images, bios, station details, etc.). By uploading, you grant SpinCounts a worldwide, royalty-free, non-exclusive license to host, store, display, and reproduce that content as necessary to operate the Service. You represent that you have all rights needed to grant this license.

7. Intellectual Property

SpinCounts, the SpinCounts logo, and the Service's software and design are owned by us and protected by intellectual property laws. Music metadata, recordings, station streams, ads, and trademarks displayed or played in the Service belong to their respective rightsholders; their inclusion does not imply endorsement.

8. Third-Party Services & Data Sources

The Service integrates with third-party providers including, without limitation: Apple Music (iTunes Search API), Deezer, Spotify, YouTube, Last.fm, OnlineRadioBox, iHeart, xmplaylist, and Dash Radio. Their content is subject to their respective terms of use. We make no warranties about the accuracy, availability, or completeness of third-party data.

9. Service Availability & Modifications

We strive for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features at any time. We will give reasonable notice of material changes that adversely affect paid subscribers.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT REPORT DATA IS COMPLETE OR FREE FROM INACCURACIES.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPINCOUNTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

12. Indemnification

You agree to indemnify and hold harmless SpinCounts, its officers, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

You may stop using the Service at any time and request account deletion via support@spincounts.com. We may suspend or terminate your account for breach of these Terms, abusive behavior, or where required by law. Sections 6–14 survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of the United States, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration on an individual basis (no class actions) under the rules of the American Arbitration Association. You may opt out of arbitration within 30 days of accepting these Terms by emailing support@spincounts.com with the subject "Arbitration Opt-Out."

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email or an in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
